Terms and Conditions of Use

Welcome to the Live Gold website, which provides brokerage services for the sale of gold pieces and jewelry between individuals.

These Terms and Conditions of Use (the “Agreement”) constitute a binding agreement between Live Gold (as defined below) and the User (as defined below) in relation to all matters concerning, relating to, and arising from the User’s access to, entry into, and use of the Services (as defined below) provided on the Live Gold website.

The User acknowledges and agrees that this Agreement shall become effective upon:
(a) automatically, upon any access to or other use of the Website by the User, whether by logging into the Website or browsing it as a visitor; and/or
(b) the User clicking a button or selecting “I Agree” upon first accessing the Website (as defined below), or any other arrangement made for the purpose of documenting the User’s acceptance.


Definitions

The following terms shall have the meanings assigned to each of them below when highlighted in bold in this Agreement, including, by way of illustration and not limitation: Agreement, Website, Live Gold, etc. All references to the singular shall include the plural, and references to the indefinite shall include the definite, and vice versa.

Agreement

Means these Terms and Conditions of Use of the Live Gold Website.

Seller

Means the individual who lists an Item on the Website, whether or not such Item is purchased by a Buyer.

Services

Means the services provided by Live Gold on the Website, which do not include the sale of Items listed by the Seller, including, without limitation, brokerage services for the sale of Items between individuals, advertising Items on the Website, inspecting Items and issuing a report thereon, and/or shipping Items from and to the Seller and to the Buyer.

Integration

Means any electronic integration authorized by Live Gold between the Website and any applications, websites, or other services provided by a third party.

Privacy Policy

Means the Privacy Policy available on the Website, which forms an integral, complementary, and interpretive part of this Agreement.

Item(s)

Means gold pieces, gold bars, or other jewelry accepted by Live Gold for listing on the Website.

Live Gold

Means Live Gold Information Technology Company, registered in the Commercial Register under Unified Number 7040725447, which owns and operates the Website.

Third-Party Content

Has the meaning assigned to it in this Agreement.

User

Means any user of the Website who accesses or uses the Website and/or the Services, directly or indirectly, whether such access and/or use is with or without registration, including Sellers and/or Buyers.

Buyer

Means the individual who submits a purchase request for an Item listed by a Seller on the Website, whether such purchase is ultimately completed or not for any reason whatsoever.

Live Gold Confidential Information

Means:
(a) all non-public information relating to Live Gold, Live Gold affiliates, business and technology partners, business plans, promotional and marketing activities, financial affairs, and other business affairs;
(b) all non-public information disclosed by Live Gold, its affiliates, Live Gold business partners, employees, contractors, or agents, which is designated as confidential or which, due to the nature of the information or the circumstances surrounding its disclosure, should reasonably be understood to be confidential; and
(c) third-party information that Live Gold is obligated to keep confidential.

Intellectual Property

Means source codes, object codes, user interface designs and functions, digital libraries, patents, utility models, invention rights, copyrights, neighboring rights and related rights, moral rights, domain names, trademarks, trade names, service marks, trade dress, industrial design rights, semiconductor topography rights, database rights, trade secrets, and all other intellectual property rights capable of protection in any part of the world, whether registered or unregistered.

Kingdom

Means the Kingdom of Saudi Arabia.

Website

Means the website www.livegold.sa, and all pages, applications, and advertisements affiliated with it — excluding pages and applications belonging to any third party — related to the sale and purchase of Items between individuals, through which the Website pages may be browsed and/or the Services or any part thereof may be obtained. The term Website also includes any Live Gold applications on smart devices.


Registration

The User may create an account on the Website by completing the relevant form as available on the Website. Such forms may require the User’s contact details for the purposes of account verification and any other important notifications related to account activity.

The User acknowledges and agrees to the collection and use by the Website of the User’s personal information, as specified in Live Gold’s Privacy Policy, which must be carefully reviewed. The use of the Website and/or Services shall be deemed acceptance by the User of the terms and conditions set forth in this Agreement and the Privacy Policy.

If the User changes any of the data registered with Live Gold, including, without limitation, the User’s email address, the User acknowledges that they shall be solely responsible for updating their data on the Website.


User Responsibilities

The User acknowledges and agrees that the following shall be the User’s responsibilities:

Legal Age

The User acknowledges and agrees that Live Gold requires the User to be 18 years of age or older in order to create an account, access and use the Website, and use the Services. The User further acknowledges that persons under the age of 18 years (a “Minor”) are not entitled to use the Website and/or the Services, and Live Gold shall not bear any liability of any kind in the event Users fail to comply with this Agreement.

User Account

The User shall be responsible for all actions carried out under the User’s account, regardless of whether such actions are carried out by the User personally or by a third party. The User shall also be responsible for updating all personal information, including, without limitation, contact details. Live Gold and its affiliates shall not be liable in any way for any unauthorized access to the User’s account.

If the User becomes aware of any breach of obligations under this Agreement, whether due to unauthorized access to the User’s account or due to another User, the User shall immediately change the password used to access the account and notify Live Gold of the same in writing. If the password change for the User’s account is not accepted, the User shall contact Live Gold and request the temporary suspension of the User account.

User Participation

Users warrant that their content, participation on the Website, and use of the Website do not violate any applicable laws. Users shall be solely responsible for their use, content, and contributions.

Account Login Information

The User shall be solely responsible for the username and password after creating the User account. The User understands that such User account login information is intended solely for the User’s personal use and that the User shall not disclose, share, sell, transfer, or sublicense it to any other person.

The User shall not violate this Agreement or any terms, conditions, and policies published by Live Gold on the Website.

Creating and/or using more than one account on the Website for the same person is prohibited.

It is prohibited to hack the Website or use any unlawful means to access the Website or the data of other Users. It is also prohibited to access the Website content and/or collect, use, reuse, or republish any information and/or data arising from or related to the use of this Website or owned by Live Gold.

The User shall comply with the protection of Intellectual Property and shall not infringe upon it, whether owned by Live Gold, any other Users, and/or any third party.

The User shall preserve the good reputation of Live Gold and shall not cause any harm or damage to it.

The User shall not impersonate any person, whether natural or legal, including, without limitation, impersonating Live Gold, any of its owners, and/or any of its employees.

The User acknowledges that they understand that Live Gold does not itself sell the Items, but acts only as a broker to assist individuals in selling Items to other individuals.

The User acknowledges that failure to fulfill any of the obligations referred to above may result in the suspension of the User’s account on the Website and prevention from using the Services without the need for any prior notice from Live Gold. Accordingly, the User undertakes not to resume using the Website unless they have obtained Live Gold’s written approval to do so.


Service Terms

Seller Obligations

The Seller’s obligations include, without limitation, the following obligations. Live Gold may specify additional requirements from time to time and display them on the Website, whether within this Agreement or within any other terms added to the Website:

  1. The Seller acknowledges that the Website is intended for the non-professional sale and purchase of Items between individuals. Accordingly, the Seller undertakes not to use the Website for trading in Items and shall solely bear the legal consequences of doing so.

  2. The Seller undertakes that they have valid and complete ownership of the Items listed on the Website, and undertakes and agrees that the Item(s) are not subject to any dispute concerning them or concerning the validity of the Seller’s ownership thereof.

  3. The Seller shall add an accurate and matching description of the Items for which the Seller submits a listing request on the Website.

  4. The Seller acknowledges that they authorize Live Gold to complete the sale of the Item(s) on their behalf with the Buyer.

  5. The Seller shall respond promptly and ship the Items to Live Gold for inspection immediately upon Live Gold’s instruction to do so when there is a Buyer for the Item(s).

  6. The Seller shall comply with and accept the result of the report issued by Live Gold after inspecting the Items.

  7. If the result of the report differs from the description provided by the Seller in relation to the Items requested for purchase by the Buyer, and the Buyer refuses to purchase them as a result, the Seller shall bear both the shipping cost to and from the Seller, the inspection fees, and the banking fees incurred by Live Gold when the Buyer deposited the price and when such amount was subsequently returned to the Buyer.

  8. The Seller shall not withdraw from the sale of the Items after the Buyer submits a purchase request for them on the Website, and shall not dispose of the Items in any manner whatsoever immediately upon receipt of a purchase request for them on the Website.

  9. The Seller shall remove any Items listed on the Website, for which no purchase request has been received, immediately upon their unavailability, sale to a third party, or non-availability for any reason whatsoever.

  10. The Seller shall provide any necessary documents requested by the Buyer or governmental authorities proving the Seller’s ownership of the Items.

  11. The Seller shall verify their account on the Website before requesting the transfer of the wallet balance, which is the accumulated amount resulting from sales made by the Seller on the Website.


Buyer Obligations

The Buyer acknowledges that submitting a purchase request on the Website constitutes an obligation by the Buyer to purchase the Item, and the Buyer may not withdraw from such request or demand a refund except where the Item description does not match the result of Live Gold’s inspection report, or where the Seller refuses to deliver the Item(s) to Live Gold for inspection.

The Buyer shall respond promptly and collect the Items when instructed by Live Gold to do so. Collection may be made in person at the branch of the shipping company.

The Buyer shall comply with and accept the result of the report issued by Live Gold after inspecting the Items.


Inspection of Items

Live Gold shall inspect all Items for which a purchase request is received from a Buyer on the Website. Live Gold shall coordinate the shipment of the Item(s) to it by the Seller, and Live Gold may request the Seller to ship them personally from the shipping company’s premises, as applicable. Live Gold shall issue a report on the inspection result to both the Seller and the Buyer. Each of the Seller and the Buyer shall bear part of the fee for the inspection service carried out by Live Gold.


Live Gold Commission

Live Gold shall be entitled, upon completing the sale of the Item(s) with the Buyer on behalf of the Seller, to a commission percentage from the price of the Item. Such percentage shall be determined on the Website when the Seller lists the Item(s) on the Website. This commission shall be deducted from the price deposited with Live Gold by the Buyer as the price of the Item(s), before transferring the remaining amount to the Seller.


Exchange and Return of Goods

The Advertiser and the Customer shall comply with all applicable and enforceable laws and regulations in Saudi Arabia, including, without limitation, the E-Commerce Law, when announcing the exchange and return policy, which is among the responsibilities of the Advertiser and with which the Customer must comply. In other words, Live Gold does not interfere in any manner whatsoever with the provisions governing the exchange and return of goods.


Payment

All payments shall be made on the Website through the payment methods available from time to time on the Website at the time of purchase.

Users acknowledge that the price of the Item(s) displayed on the Website is in Saudi Riyals.


Geographical Scope of Services

In general, Live Gold provides its Services to all cities in the Kingdom of Saudi Arabia. However, service availability depends on the ability to access the location of both the Seller and the Buyer.


Third-Party Content

The Website may contain information, data, software, photographs, diagrams, videos, graphics, sounds, and other materials owned by a third party, such as content added by Sellers, collectively referred to as “Third-Party Content.”

With respect to Third-Party Content, such content originates from and reflects only the opinions of its owners. Third-Party Content shall not, under any circumstances, represent Live Gold. The display of Third-Party Content on the Website shall not be deemed approval by Live Gold of its content or endorsement by Live Gold thereof.


Integration with Third-Party Websites

The Website contains features designed to connect with websites that may belong to a third party as an essential part of Live Gold. The User agrees that such essential integrations shall form part of the Services and be included within their fees unless otherwise stated in writing in the payment invoice.

Although Live Gold shall use its reasonable best efforts to maintain the continuous availability of these features, Live Gold cannot guarantee their continued availability.


Prohibited Contributions

The Website prohibits the following contributions or replies:
(a) any contributions or replies containing inappropriate language, insult, abuse, profanity, impoliteness, mockery, or any other conduct deemed offensive to other Users, as determined by Live Gold.

Live Gold shall have the right to delete the prohibited contribution, in addition to suspending the account of the User who posted it, while Live Gold and any relevant third party retain their right to report the matter to the competent authorities.


Temporary Suspension of Accounts

Without prejudice to any other right of Live Gold under this Agreement, including the right of termination, Live Gold shall have the right to temporarily suspend the User’s account, while reserving the right not to refund paid Service fees, in the event of:

  1. Using the Website in a manner that violates local laws in the Kingdom; or

  2. Using the Website in a manner that adversely affects Live Gold or causes damage, disruption, or a problem to the Website, Live Gold, and/or any third party.

If the User’s account is suspended by Live Gold for any of the reasons above, and a period of not less than fifteen (15) calendar days has passed, Live Gold shall send a notice to the User explaining that if the User does not take the necessary actions to fully remedy the cause of suspension, Live Gold shall have the right to permanently delete the User’s account after an additional ten (10) calendar days have elapsed, without any liability arising against Live Gold.


Intellectual Property

The User acknowledges and agrees that all Intellectual Property rights in the Website are the exclusive property of Live Gold or are owned by a third party and displayed by Live Gold with authorization from such third party.

The User further acknowledges and agrees that Live Gold grants the User the right to access and/or use the Website, and that the User has no rights of any kind related to and/or arising from the Website except as expressly provided in this Agreement.

The User is not permitted to use, copy, modify, alter, reproduce, publish, display, distribute, store, transfer, or commercially exploit any property related to Live Gold, including, without limitation, Intellectual Property rights, without obtaining Live Gold’s prior written consent.

The User further acknowledges that nothing in this Agreement is intended to, or may be understood to, grant the User any right or license in and/or to any Live Gold content, unless expressly stated in this Agreement.


Force Majeure

Neither Live Gold nor the User shall be deemed in default of performing its obligations under this Agreement, nor in breach of any provision of this Agreement, if the cause preventing performance of such obligations is the occurrence of any force majeure event arising after the effective date of this Agreement.

If either party considers that a force majeure event has occurred and that such event may affect the performance of its obligations under this Agreement, it shall notify the other party in writing as soon as possible, provided that such notice shall not exceed fourteen (14) business days from the start of such event.


Limitation of Liability

Although Live Gold seeks to take precautions relating to the security of the Website by using servers with high-security technology to store the data and content of the User’s account, and although Live Gold seeks to take precautions that promote integrity in buying and selling and reduce fraud, deception, and cheating by establishing and publishing the provisions of this Agreement and the Privacy Policy, it is not possible to exclude the infringements of some Users or third parties and their violation of these provisions, in addition to their violation of the laws and regulations of Saudi Arabia. Accordingly, the following must be noted:

Live Gold and any of its affiliates shall not be liable to the User for any indirect, incidental, special, consequential, or punitive damages, even if Live Gold has been advised of the possibility of such damages.

Live Gold or any of its affiliates shall not be liable for any compensation or refund of fees for any damages arising from the User’s inability to use the Services, including any damages resulting from any termination or suspension of part or all of this Agreement, the User’s account, use of and/or access to the Website and/or Services, or any unexpected or unplanned interruption of all or part of the Services for any reason, including, without limitation:
(a) the cost of purchasing alternative services;
(b) any investments, expenses, or obligations by the User in relation to this Agreement or the User’s use of or access to the Services; and/or
(c) any unauthorized access to, alteration, deletion, destruction, damage, loss, or failure to store any User content or other data related thereto.

In all cases, Live Gold’s liability under this Agreement shall not exceed the amount of fees actually paid by the User to Live Gold under this Agreement for the Website and/or Services during the three (3) months prior to the establishment of liability.


Comments, Feedback, and Suggestions

Live Gold values all Users’ comments, feedback, and suggestions regarding the Website.

By submitting comments, feedback, and/or suggestions to Live Gold through the Website, the User grants Live Gold and its affiliates permission to use, modify, copy, publish, and distribute all of the User’s comments, feedback, and suggestions permanently, without any restrictions and/or conditions, worldwide, and without any consideration or compensation of any kind.

If the User does not wish to grant Live Gold the rights related to such comments, feedback, and suggestions, the User shall refrain from submitting, sending, and/or posting comments, feedback, and suggestions on the Website.


Suspension of Use

If the User fails to comply with the terms and provisions of this Agreement, or for any other reason, the User agrees that Live Gold has the right to suspend the User’s use of the Website at Live Gold’s sole discretion. Live Gold shall also have the right to terminate the User’s access to the Website without prior notice.


Confidentiality

The User must maintain the strict confidentiality of Live Gold Confidential Information. The User may not, without obtaining Live Gold’s prior written consent, use or disclose any Live Gold Confidential Information, directly or indirectly, to any third party, except for the following, with prior notice to Live Gold within a reasonable period of time to enable Live Gold to take appropriate measures:

(a) Confidential Information that becomes generally known to the public without any improper act and/or omission by the User; and/or
(b) disclosure of portions of Live Gold Confidential Information required to be disclosed by law, pursuant to a final court judgment, and/or pursuant to an order from the competent authorities.


Governing Law and Dispute Resolution

This Agreement shall be governed by the laws and regulations of the Kingdom.

In the event of a dispute between the User and Live Gold, such dispute must be resolved amicably within fifteen (15) days from the date of written notice submitted by one party to the other notifying it of the existence of such dispute.

If an amicable settlement cannot be reached within the fifteen-day period specified above, the dispute shall be referred to the competent court in the city of Jeddah.


Communications

All communications and notices required under this Agreement must be in writing and shall be deemed duly given when submitted by email.

All emails and notices sent to Live Gold must be sent to the following email address:

The User acknowledges that Live Gold shall send the communications necessary to provide the Services to the User, such as responses to password reset requests, customer support requests, and similar communications, and the User may not unsubscribe from such communications.

The User acknowledges that they shall be solely responsible for notifying Live Gold of any change in their address and contact information as soon as possible.


Entire Agreement

Except for agreements entered into directly by Live Gold with Sellers, this Agreement constitutes the entire agreement between the parties with respect to its subject matter.

This Agreement supersedes and replaces any prior agreements, representations, understandings, or communications, whether oral or written, relating to the subject matter of this Agreement.


No Waiver of Rights

If either Live Gold or the User does not insist at any time on the performance by the other party of its obligations or representations set forth in this Agreement, or if either Live Gold or the User fails to exercise any of the rights or remedies granted to it under this Agreement, this shall not constitute a waiver of such rights or remedies and shall not relieve the other party from complying with such obligations.

No waiver by Live Gold or the User of any default shall constitute a waiver of any subsequent default.


Nature of Relationship

The User acknowledges that the relationship between Live Gold and the User is solely a service-provision relationship consisting of displaying Sellers’ product data and facilitating access thereto.

Nothing in this Agreement shall be deemed to create a partnership, agency, employment, or representation relationship between Live Gold and the User.


Prevailing Language

In the event of any conflict or difference in meaning between the Arabic and English texts of this Agreement, the Arabic text shall prevail over the English text.


Severability

If any term or provision of this Agreement becomes illegal, invalid, or unenforceable under any laws applicable to this Agreement, such term or provision shall be deleted, and this shall not affect the validity and enforceability of the remaining terms and provisions of the Agreement.


Assignment

The User may not transfer any right granted to them under the terms of this Agreement and/or license or permit any person or third party to access the Website, in whole or in part, without Live Gold’s prior written consent. Any attempt to do so shall be null and void.


Amendment of the Agreement

Without directly conflicting with any other provisions set forth in other agreements or policies to which the User is subject, Live Gold reserves the right to amend this Agreement at any time by publishing an amended version on the Website or by notifying the User in accordance with the other communication provisions under this Agreement.
